These are Our Terms which you should read before you use Our site or before you register as a Member (defined in Clause 1.2 below). These Terms are a legally binding agreement between Beckham Brand Limited (“We/Us/Our”) and you. They will govern the relationship between you and Us and everything that you do on www.thedavidbeckhamacademy.co.uk (the “Site”). If you do not accept the Terms, you should not view, access or otherwise use any part of the Site. In such a case, please leave this Site now.

1. ACCEPTANCE OF TERMS

1.1 These Terms govern your use of the Site, the information that We make available to you on the Site and any goods or services that We sell you directly from this Site. These Terms do not govern any other relationships with any third party. If you are entering into a contract with a third party such as buying tickets to an event, you ought to read their Terms carefully before entering into an agreement with them. By using the site you accept that you will be bound by these Terms and any changes that may be made to them from time to time. If you do not agree to be bound by these Terms, please do not use the Site.

1.2 Portions of the Site may be viewed simply by visiting the Site. However, in order to gain access to certain areas of the Site you may need to enrol as a member (“Member”) of the Site. If you use the Message Board please read Our Message Board Policy here.

1.3 We may update these Terms from time to time and it is your responsibility to ensure that you are up to date with them at all times. Please note that your continued use of the Site will indicate your acceptance of any such updated Terms.

1.4 These Terms are made according to English law (and applicable European law) as We are a United Kingdom Site aimed at United Kingdom users.

2. 12 YEARS OLD OR YOUNGER

2.1 If you are aged 12 years or younger, please ask a parent or legal guardian to read through these Terms and Our Privacy Policy before you use the Site.

2.2 When your parent or legal guardian has read these Terms, We will ask them to email Us to confirm that they are happy for you to use and participate in the Site. You will not be able to register on certain areas of the Site until your parent or legal guardian has provided Us with their consent.

2.3 We may however prevent you from having access to certain areas of the Site including but not limited to the Message Board (if applicable).

2.4 PARENTS AND LEGAL GUARDIANS should note that to the extent that any individual who is authorised by you OR for whom you are responsible causes loss or damage to any person as a result of accessing or using the Site you agree to fully indemnify Us in full against all such claims made against Us.

3. REGISTRATION INFORMATION AND YOUR PRIVACY

3.1 When you register as a Member (if applicable), you will be required to provide Us with your full name, your email address and, if you are under 13 years of age, your parent or legal guardian’s email address (the “Registration Information”). In the event that you do not provide Us with the Registration Information We may refuse your request to become a Member. We use the Registration Information as detailed in Our Privacy Policy. 3.2 If you are under 12 years of age, We will require your parent or legal guardian’s consent before allowing you to register on the Site. If your parent or legal guardian does not provide consent, We will suppress your Registration Information.

4. PROVISION OF SERVICE

4.1 This Site may be modified or discontinued by Us with or without notice to you and without liability to you or to any third party (except where any such action taken by Us causes you to suffer loss or death or personal injury as a result of Our negligence). The Site is made available to you strictly on an “as is” basis.

4.2 Where We have posted information on the Site, We endeavour to ensure that the information is as accurate as possible. We are not responsible in any way for the accuracy or otherwise of information posted onto the Site by third parties. We do not monitor any information posted on the Site by third parties, such as on the Message Board. We are also not responsible for the contents of any site that you may go to via links from Our Site.

5. YOUR OBLIGATIONS TO US

5.1 You agree that you will only use the Site in such a way that adheres to these Terms.

5.2 You hereby confirm that you have obtained the consent of the telephone line user and of the person who pays the bill associated with that telephone line prior to accessing the Site. You are responsible for obtaining all necessary equipment to enable you to access the Site.

6. INTELLECTUAL PROPERTY RIGHTS AND USE OF SITE

6.1 Copyright and design rights extend to the design, look and feel of Our Website, all photographs, images and text appearing on it and any promotional material and We assert Our Intellectual Property Rights therein.

6.2 We do not give you any right or interest in any copyright, trade mark, trading style, trade name, goodwill, design right, patent, database, software right, whether registered or unregistered (“Intellectual Property Rights”) in any text, image, logo, trade mark, table, compilation, database, software or other material in which Intellectual Property Rights subsist featured on the Site because they are owned by Us. You can use all the material on Our Site and you may use, replicate, copy, modify, distribute or adapt any area of the Site only to the extent We specifically say so.

6.3 You are granted a limited license to download the materials contained on this Site to a single personal computer, and to print a hard copy of the materials contained on this Site, solely for personal, non-commercial use, and provided all copyright, trade mark and other proprietary notices are left intact. In all cases "The David Beckham Academy" must be acknowledged as the source of the material. Use of the materials contained on this Site on any other Internet site is strictly prohibited. The grant of this limited license is conditional upon your agreement to and compliance with all these terms of use. Any other use of any of the materials on this website including reproduction (for any purposes other than those noted above), modification, distribution, or republication, without Our prior written permission is strictly prohibited, and is a violation of Our proprietary rights.

6.4 If you download whether free of charge or on a paid for basis (“Download”) any software from this Site, the software, including any images or files incorporated in or generated by the software, and data accompanying the software (collectively, the "Software") are subject to the limited license set out above. We and/or our suppliers (as the case may be) retain all right, title, interest and intellectual property rights in and to the Software. You may not distribute, sell, or transmit the Software and you are not permitted to alter, modify or adapt the Software, including but not limited to translating, decompiling, reverse engineering, disassembling, or creating derivative works of it.

6.5 We do not give you any rights in relation to any Intellectual Property Rights in any product or service that you purchase on the Site and nor do We give you right to reproduce the same, except where you Download a ringtone, image, wallpaper, video, music or other digital file from the Site (where such services are made available) and such Download use will be subject to the specific terms and conditions applicable to such service.

6.6 We do not make any warranty or representation in respect of the ownership or origin of any third party materials included on the Site.

7. COMPETITIONS

7.1 Each competition that is run on the Site will have its own rules and you agree to follow those rules. Please read them carefully before entering a competition.

7.2 Sometimes, a competition might be age-restricted. If so, you might be refused entry on the basis of your age. We may verify your age using Cookies.

7.3 We will use your Registration Information to contact you in the event that you win a competition and/or to deliver to you your prize. Please read Our Privacy Policy in relation to use of your personal information.

7.4 We are not responsible for any competition or game run by any third party which you access via Our Site.

8. SCHOOLS ZONE

8.1 The Schools Zone is an area of the Site aimed at teachers and students. It contains teaching resources and exercises which can be carried out online or off-line.

8.2 Teachers are required to register on the Site in order to gain access to the Schools Zone. In order to register for access into the Schools Zone, a person must be a registered teacher. We will verify the details provided to Us by the teacher, including contacting their school.

8.3 Teachers will be issued a code in order to gain access to the Schools Zone. Teachers agree that they will only issue that code to pupils in their class.

9. DISCLAIMER AND THIRD PARTY SITES

9.1 We explicitly disclaim any responsibility for the accuracy, content, or availability of information found on sites that link to or from the Site. We cannot ensure that you will be satisfied with any products or services that you purchase from a third-party site that links to or from the Site or third-party content on the Site. We do not endorse any of the merchandise, nor have we taken any steps to confirm the accuracy or reliability of, any of the information contained in such third-party sites or content. 10. GUARANTEES AND LIABILITY

10.1 Some goods or services may differ slightly from their description or appearance on the Site. Please check the delivered product as soon as possible on receipt as We will not cover any subsequent loss or destruction.

10.4 You agree to defend, indemnify and hold harmless Beckham Brand Limited, The David Beckham Academy, Anschutz Entertainment Group, Inc. and their directors, officers, employees and agents from and against all liabilities, claims, damages, costs and expenses, including attorneys' fees arising out of: your use of the Site; any material you post, upload, e-mail or otherwise transmit using the Site; or your violation, breach or alleged violation or breach of these Terms of Use.

11. TERMINATION

These Terms are effective until terminated by either party. You may terminate these terms at any time by discontinuing use of Site and destroying all materials obtained from the Site and all related documentation and all copies and installations thereof, whether made under these Terms or otherwise. Your access to Site may be terminated immediately without notice from Us if in our sole discretion you fail to comply with any term or provision of these Terms. Upon termination, you must cease use of the Site and destroy all materials obtained from it and all copies thereof, whether made under these Terms or otherwise.

12. GENERAL

12.1 If any provision of this Agreement is prohibited by law or judged by a Court of competent jurisdiction to be unlawful, void or unenforceable the provision shall, to the extent required, be severed from these Terms and shall not in any way affect any other circumstances pertaining to these Terms or the validity or enforcement of these Terms.

12.2 We may add to, change or remove any part of these Terms at any time, without notice. Any changes to these Terms or any terms shown on this Site apply as soon as they are shown. By continuing to use this Site after any changes are posted, you are indicating your acceptance of those changes. It is therefore your responsibility to check these Terms of Use each time you use this Site, so that you can take note of any amendments we may make. We may add, change, discontinue, remove or suspend any other content displayed on this Site, including features and specifications of products and services described or depicted on the Site, temporarily or permanently, at any time, without notice and without liability.

12.3 The provisions of the Contracts (Rights of Third Parties) Act 1999 shall not apply to these Terms.

12.4 Our Site and these terms and conditions are subject to the laws of England and the Courts of England have exclusive jurisdiction in respect of any disputes arising from or subject to this Agreement.

TERMS & CONDITIONS OF SOCCER COURSE BONUS PRIZE :

1. Only one entry per person is permitted. This is a free prize draw.

2. The promoter of this prize draw is The David Beckham Academy of East Parkside, Greenwich Peninsula, London, SE10 0JF, United Kingdom. All decisions of the promoter in relation to this prize draw are final.

3. The closing date for entries into the prize draw is 30 June 2007. The prize draw will take place on or around 1 July 2007. The Winner will be the first entry collected at random by the promoter. Winner will be notified by email/telephone on or before 12 July 2007.

TERMS & CONDITIONS OF PRIZE DRAW:

2. The promoter of this prize draw is The David Beckham Academy of East Parkside, Greenwich Peninsula, London, SE10 0JF, United Kingdom. All decisions of the promoter in relation to this prize draw is final.

3. The closing date for entries into the prize draw is 30 April 2007. The prize draw will take place on or around 1 May 2007. The Winners will be the first five entries collected at random by The Promoter. Winners will be notified by email/telephone on or before 12 May 2007 and the winning schools will be published on this website.

4. There are five prizes of a visit from The David Beckham Academy coaches to your school for a coaching session for maximum four hours with up to 40 children (a “School Visit”). Exact details of the School Visit remain at the sole discretion of The David Beckham Academy.

5. By entering the prize draw, you agree to be bound by these terms and conditions. By agreeing to a School Visit, your school will be asked to confirm that it accepts the terms and conditions of the School Visit set out below.

TERMS & CONDITIONS OF SCHOOL VISITS:

1. The dates of the School Visits are to be mutually agreed between The David Beckham Academy and the schools at which the winning entrants teach (the “Winning Schools”).

2. The David Beckham Academy reserves the right to award the prize to another entrant if a Winning School has not been able to confirm hosting of the Visit nor agreed a date for the Visit within 45 days of being informed of its selection as a Winning School.

3. In the event of a cancellation by a Winning School, The David Beckham Academy reserves the right to decide if the Visit can be rearranged.

4. The School Visit, provision of stated activities and participation of third parties may be altered or amended at any time, at the discretion of The David Beckham Academy. If The David Beckham Academy has to cancel any School Visit, then it will use reasonable endeavours to rearrange the date at the earliest opportunity. The David Beckham Academy excludes responsibility and all liabilities arising from any postponement, cancellation, delay or changes to the prize details.

5. The David Beckham Academy will be responsible for all costs associated with travel, accommodation and subsistence for its coaches. The Winning Schools will be responsible for any other related expenses (including, but not limited to, venue hire, cleaning, any non-David Beckham Academy personnel travel, accommodation, meals, personal expenses and incidentals incurred not expressly stated as part of the prize outlined in the final itinerary).

6. The David Beckham Academy will provide all associated equipment for the coaching programme that they determine is appropriate for the age and skill level of the children.

7. The David Beckham Academy is not liable for any personal injury, cost, loss or damage to any of the pupils attending the School Visit to the extent such liability can be excluded under English law.

8. Each Winning School agrees to indemnify The David Beckham Academy from all claims, losses, damages, liabilities, actions, proceedings, penalties and expenses including without limitation reasonable legal expenses suffered, incurred or paid by The David Beckham Academy or any of its affiliates arising in connection with any breach of these terms and conditions or any incident that may occur during the School Visit for any reason save that of negligence on behalf of The David Beckham Academy.

9. Each school pupil participating in the School Visit will be undertaking a degree of physical exercise, and as such, registration and disclaimer forms will need to be signed by the parent/guardian of each participating pupil, confirming that the pupil has an adequate level of fitness and is able to participate without incurring any injury or causing the re-occurrence of any previous injury or medical condition. The Winning School must then confirm in writing to The David Beckham Academy that forms and disclaimers have been received from each participant and the Winning School takes responsibility for any failure to do so.

10. All attendees to the School Visits including participants, may be asked to participate in publicity for The David Beckham Academy and by completing and signing a disclaimer form, agree to such participation and allow The David Beckham Academy and any of its affiliates to use such promotional material without restriction in all media anywhere in the world.

11. Use of cameras is permitted by the participants in the School Visits provided that any photos taken are for personal use only. Use of video cameras is not permitted.

12. All media requests must be discussed in advance with, and approved by, The David Beckham Academy.

TERMS & CONDITIONS OF TEACHERS QUESTIONNAIRE PRIZE DRAW:

1. Entrants who fill out the questionnaire will be automatically entered into the prize draw provided that they must be aged 18 or over, must teach at a school in the United Kingdom and must not be employees of Beckham Brand Limited, The David Beckham Academy or their relatives. Only one entry person is permitted. No purchase necessary. This is a free prize draw.

2. No responsibility can be accepted for entries which are lost, delayed, misdirected or corrupted during delivery to or from the promoter due to any computer malfunction, virus, bug, delay or other reason whatsoever.

3. The promoter of this prize draw is The David Beckham Academy of East Parkside, Greenwich Peninsula, London, SE10 0JF, United Kingdom. The promoter’s decision in relation to this prize draw is final.

4. There is one prize of £100 worth of vouchers from Marks & Spencer. Prizes cannot be transferred and there is no cash alternative to the prize (or any part of the prize).

5. The closing date for entries into the prize draw is Midnight on 20 January 2008 (UK time). The Winner will be the first entry collected at random by the Promoter on or around Midday on 22 January 2008 (UK time). The Winner will be notified by email within fourteen days of being chosen by the Promoter. If the winner is not available, their email address not functioning or they do not claim their prize within forty-eight (48) hours from being contacted, their prize will be forfeited and a new winner chosen.

6. Any personal data relating to entrants provided on entry (such as names, email address, address and telephone number) will only be used to notify the winner and deliver the prizes and in accordance with this site’s privacy policy.

7. The winner’s name will be published on www.thedavidbeckhamacademy.co.uk. The winner agrees to use of their name and, subject to separate consent, their image in promotional activity following this prize draw.

Entrants who correctly answer the question posed in the competition and email it to competitions@thedavidbeckhamacademy.com will be automatically entered into the prize draw provided that they must be aged 13 or over and must not be employees of Beckham Brand Limited, The David Beckham Academy, any of their affiliates or their relatives. Only one entry per person is permitted. No purchase necessary. This is a free prize draw.

2. No responsibility can be accepted for entries which are lost, delayed, misdirected or corrupted during delivery to or from the Promoter due to any computer malfunction, virus, bug, delay or other reason whatsoever.

3. The promoter of this prize draw is The David Beckham Academy of East Parkside, Greenwich Peninsula, London, SE10 0JF, United Kingdom (the “Promoter”). All decisions of the Promoter in relation to this competition are final.

The Winner will be the first correct entry chosen at random by the Promoter on or around 14 February 2008. The Winner will be notified by email within fourteen days of being chosen by the Promoter. If a Winner is not available, their email address not functioning or they do not claim their prize within forty-eight (48) hours from being contacted, their prize will be forfeited and a new winner chosen. The Winner must book the course within one year of being notified.

6. Any personal data relating to entrants provided on entry (such as names, email address, address and telephone number) will only be used to notify the Winner and deliver the prize and in accordance with this site’s privacy policy.

TERMS & CONDITIONS OF PRIZE DRAW:

Entrants who book a place on a David Beckham Academy summer 2008 1-day, 3-day or 5-day football course will be automatically entered into the prize draw provided that they must be aged between 8 and 15 and must not be employees of Beckham Brand Limited, The David Beckham Academy, any of their affiliates or their relatives. Only one entry per person is permitted. This is a free prize draw.

2. No responsibility can be accepted for entries which are lost, delayed, misdirected or corrupted during delivery to or from the Promoter due to any computer malfunction, virus, bug, delay or other reason whatsoever.

3. The promoter of this prize draw is The David Beckham Academy of East Parkside, Greenwich Peninsula, London, SE10 0JF, United Kingdom (the “Promoter”). All decisions of the Promoter in relation to this competition are final.

4. There is one (1) prize of a free place for a friend (the “Friend”) to accompany the Winner on a one day course, 3-day course or 5-day course at the David Beckham Academy in Summer 2008. The prize cannot be transferred and there is no cash alternative to the prize (or any part of the prize). The Friend must be aged between 8 and 15 years. The Winner and the Friend will be required to sign all relevant consent forms including a medical waiver as a condition to fulfilling the prize.

5. The closing date for entries into the prize draw is midnight on 30 June 2008 (UK time). The Winner will be the first entry chosen at random by the Promoter on or around 7 July 2008. The Winner will be notified by email within seven days of being chosen by the Promoter. If a Winner is not available, their email address not functioning or they do not claim their prize within forty-eight (48) hours from being contacted, their prize will be forfeited and a new winner chosen. The Winner (and Friend) must book the course within one month of being notified.

6. Any personal data relating to entrants provided on entry (such as names, email address, address and telephone number) will only be used to notify the Winner and deliver the prize and in accordance with this site’s privacy policy.

7. The Winner’s name, using first name only unless otherwise agreed with the Winner, will be published on www.thedavidbeckhamacademy.co.uk. Each Winner agrees to use of their first name and, subject to separate consent or in the case of a child under 13 the consent of their parent or legal guardian, their image in promotional activity following this prize draw.

8. The Promoter reserves the right to withdraw or amend this prize draw at any time without notice.
